CONSTITUTION OF THE PENNSYLVANIA ASSOCIATION OF THE HOLY NAME SOCIETY - 2003 REVISION

PREAMBLE


Following the Second Vatican Council and being fully aware of the Council documents promulgated by His Holiness Pope Paul VI, the members of the Confraternity of the Most Holy Name of Jesus in the State of Pennsylvania have met to adopt a Constitution. It is the intention of the framers of this Constitution to preserve the 700-year old purposes of the Confraternity, reverence for the Sacred Name of God and that of Jesus Christ, and the salvation of the souls of the members of the Confraternity. The framers of this Constitution also realize that the "laity carry out their own part in the mission of the whole Christian people with respect to the Church and the world" and "seek the Kingdom of God by engaging in temporal affairs and by ordering them according to the plan of God." (Dogmatic Constitution of the Church). Similarly, the Fathers wrote (in Decree on the Apostolate of the Laity) of their desire to "intensify the apostolic activity of the People of God" and noted that "the member who fails to make his proper contribution to the development of the Church must be said to be useful neither to the Church nor to himself." Humbly asking God's blessings on their endeavor, the following representatives do hereby ordain and establish this Constitution.

ARTICLE I:

NAME
Section 1:

The name of this organization shall be The Pennsylvania Association of the Holy Name Society.

 

ARTICLE II:

PURPOSES
Section 1:

a. To promote reverence for the Name of the Most Holy Trinity, the Father, the Son, and the Holy Spirit, and to praise and venerate the Most Holy Name of God;
b. To promote sanctification of Holy Name members by the frequent reception of the sacraments and by faithful correspondence with the grace of their state in life;
c. To foster observance of the promises in the Holy Name Pledge;
d. To cooperate with the hierarchy of the Holy Catholic Church in its collegiate unity with our Holy Father, the Pope;
e. To cooperate with the National Holy Name Episcopal Moderator, the National Holy Name Spiritual Director and the National Holy Name President, as well as the Archdiocesan and Diocesan Holy Name Unions in the United States and in the Commonwealth of Pennsylvania;
f. To strengthen the unity and participation of all Catholics in all structures of the Catholic Church - parochial, diocesan and universal in accordance with the letter and spirit of the Second Vatican Council;
g. To promote the founding and strengthening of Archdiocesan and Diocesan Holy Name Unions in the Commonwealth of Pennsylvania where they are non-existent or weak;
h. To promote a means of effective communication and coordination among Archdiocesan and/or Diocesan unions and/or societies throughout the Commonwealth of Pennsylvania;
i. To cooperate with and aid other organizations in Pennsylvania working to attain goals and objectives consistent with our aims and purposes;
j. To do anything necessary and proper for the accomplishment of any purposes set forth in this statement of purposes and adopted by this Association;
k. To publicly proclaim Jesus Christ as Lord and Savior and the Power of His Most Holy Name and in His Name foster meaningful spiritual and temporal programs and perform spiritual and corporal works of mercy.

 

ARTICLE III:

MEMBERSHIP
Section 1: Voting Membership

a. Each Archdiocesan and Diocesan Union of the Holy Name Society in the Commonwealth of Pennsylvania shall be eligible for voting membership in this Association, and shall remain a voting member in good standing if the payment of the established dues for the current year is met.
b. Parish Holy Name Societies, Associations of Holy Name Members or individual Holy Name members in Archdioceses or Dioceses where no Archdiocesan or Diocesan Holy Name Union exists may be granted voting membership for the non-existing union by the Executive Board provided payment of the established annual dues for an Archdiocesan or Diocesan Union is met. They shall remain a voting member only until a Union is established or their membership is terminated by the Executive Board. If more than one request is received by the Executive Board for this type membership from the same Archdiocese or Diocese, the parish Holy Name Societies, Associations of Holy Name Members, or individual Holy Name members requesting a voting membership shall be informed they must unite before voting membership may be granted.
c. Only one (1) voting membership is permitted in an Archdiocese or Diocese.

 

ARTICLE IV:

OFFICERS
Section 1: Moderators

a. The Spiritual Moderators of this Association shall be selected by the Executive Board. There shall be a minimumof two (2) moderators, one covering the Eastern part of the State; the other covering the Western part. Additional Moderators may be appointed at the discretion of the Executive Board.
b. The term of office for the Spiritual Moderators shall be two (2) years. The term of office will be alternating so their terms are overlapping.

Section 2: Elected Officers
a. The elected officers of this Association shall be a President, a First Vice President, a Second Vice President, a Third Vice President, a Corresponding Secretary, a Recording Secretary, a Treasurer, a Marshal, and sufficient Directors only to assure that each member may have a seat on the PAHNS Executive Board.
b. Each officer shall be elected for a term of two (2) years and shall not be eligible for reelection to the same office in successive terms, except that the Recording Secretary, Corresponding Secretary, Treasurer, Marshal and any Directors shall be eligible for election to two successive terms.
c. Any office not filled will lay dormant until such a time as an eligible candidate can be recruited and elected at a special election which may be held at the Spring or Fall Meeting. The positions of Corresponding Secretary and Recording Secretary shall remain one office until such time as the Voting Membership warrants it being split. d. Any candidate elected at a special election, as specified in Sub-Section c, supra, shall, depending upon the office, be eligible for re-election to one or two consecutive full terms.

ARTICLE V:

COMMITTEES
Section 1: Committee Chairs
a. Committee Chairs shall be appointed by the President with the approval of the Executive Board for any committees deemed necessary by the Executive Board and their term of office shall be dissolved upon completion of the assignment or the duration of the appointing President's term. They may attend all regular or special called meetings held by the Executive Board and may participate in all discussions but shall have no vote.

ARTICLE VI:

EXECUTIVE BOARD
Section 1: Membership
a. The Executive Board shall consist of the Spiritual Moderators, the elected officers, the immediate past president of this Association and one (1) delegate or alternate from each member Diocese.

Section 2: Duties
a. The Executive Board shall, by a majority vote of its members, decide all matters coming before the Association.
b. The Executive Board shall promulgate the conditions under which voting membership can be granted in Archdioceses and Dioceses where no Holy Name Union exists.
c. The Executive Board shall determine the application fees and the annual dues of the members.
d. All decisions of the Executive Board shall remain in full force.
e. A quorum at any regular or properly called meeting shall consist of those who attend.
f. The Executive Board may vote on matters by mail, or telephone conference with written confirmation. No proxy will be recognized at the semi-annual meeting.
g. The Executive Board shall temporarily fill any vacancies occurring among the elected officers until such time as an eligible candidate may be recruited and a special election may be held at the next or a subsequent meeting, pursuant to the provisions of Article IV, Section 2, Sub-Section c. When faced with such special circumstances the Executive Board may disregard the limitations on the number of officers per diocese as specified in the Article on Nominations and Elections (Article IX, Section 3, Sub-Section d).

ARTICLE VII:

DUTIES OF OFFICERS
Section 1: Moderators

a. The Spiritual Moderators shall be consulted on all spiritual matters being considered and be informed of all temporal matters, assisting in the decision-making process when it is deemed necessary.
b. They shall provide spiritual advice to the officers of this Association.
c. They shall work closely with the member dioceses in their areas and promote membership of the non-member dioceses of their area.

Section 2: President
a. The President is the chief executive officer of this Association and shall preside at all meetings and is Chair of the Executive Board and shall ex officio be a member of all committees.
b. The President shall see that the Association functions in accordance with the Constitution.
c. The President shall execute the policies, plans and directives of the Executive Board.
d. The President shall present all decisions of the Executive Board to the semi-annual meeting for ratification and/or disapproval.
e. The President shall appoint all chairs of all committees with the approval of the Executive Board.
f. The President shall plan the meetings and activities of the Association and shall see that all officers and chairs perform the duties and activities assigned to them.
g. The President shall present a written report of the administration at the semi-annual meeting.

Section 3: First Vice President
a. The First Vice President, in the absence of the President, shall have all the powers and duties of the President.
b. And shall perform such other duties as are assigned by the President and normally devolving upon the office.

Section 4: Second Vice President
a. The Second Vice President, in the absence of the President and First Vice President, shall have all the powers and duties of the President.
b. And shall perform such other duties as are assigned by the President and normally devolving upon the office.

Section 5: Third Vice President
a. The Third Vice President, in the absence of superior officers, shall have all the powers and duties of the President.
b. And shall perform such other duties as are assigned by the President and normally devolving upon the office.

Section 6: Corresponding Secretary
a. The Corresponding Secretary shall prepare all correspondence of the Association and maintain a chronological file thereof.
b. And shall prepare and send notices of all meetings to the members of the Executive Board and voting member dioceses thirty (30) days in advance of the scheduled meeting.

Section 7: Recording Secretary
a. The Recording Secretary shall keep a roster of all members.
b. The Recording Secretary shall record the minutes of all meetings and deliver same when called upon by the presiding officer. And within a reasonable time after each meeting, shall see to the distribution of the typed minutes to all members of the Executive Board and voting member dioceses.
c. The Recording Secretary shall certify all dioceses on behalf of the Association.
d. The Recording Secretary shall perform all other duties, as directed, usually pertaining to the office of secretary.

Section 8: Treasurer
a. The Treasurer shall notify all members of the time for paying dues and/or assessments.
b. The Treasurer shall be responsible for the depositing of all funds coming to the Association into an account in the name of The Pennsylvania Association of the Holy Name Society, and the keeping of an accurate record thereof.
c. The Treasurer shall supervise the timely filing of all tax and corporate forms required by all governmental agencies.
d. The Treasurer shall supervise paying all obligations of the Association, keeping an accurate record thereof, with vouchers therefor.
e. The Treasurer shall render a report of the financial condition of the Association at any meeting.
f. The Treasurer shall present an annual report to the membership at the Fall meeting. This report shall not be limited to the current financial condition of this Association, but shall also include the recommended budget for the following fiscal year, as specified in Sub-Section i, and any proposals the Treasurer may have regarding fund-raising activities.
g. The Treasurer shall receive and account for all funds of the Association, and deposit the funds in an insured financial institution, or invest the funds as directed by the Executive Board.
h. The Treasurer shall certify those member units whose dues are paid.
i. The Treasurer shall prepare a budget for the upcoming fiscal year for approval by the Executive Board. The fiscal year shall be identical with the calendar year.
j. The Treasurer shall submit the books for audit to an auditing committee appointed by the President.

Section 9: Marshal
a. The Marshal shall execute assignments as given by the President and such other duties as are devolving upon this office.

Section 10: Directors
a. The Directors shall execute assignments as given by the President and keep in close contact with the areas assigned to them.

ARTICLE VIII:

MEETINGS AND VOTING
Section 1: Meetings
a. This Association shall meet semi-annually in the Spring and the Fall, normally at a Catholic retreat house in the Commonwealth of Pennsylvania, in a Diocese or Archdiocese designated by the Executive Board.
b. The Spring meeting shall usually be held in the month of April, but may take place in March or May as circumstances warrant.
c. This Association will strive to hold the Fall meeting each October, but the meeting may be held in September or November as circumstances warrant.
d. The Executive Board retains ultimate authority to designate the precise time and location of the semi-annual meetings, and may waive the requirements of a Catholic retreat house, or even of meeting within the Commonwealth of Pennsylvania. However, the Executive Board may delegate authority to the President and the Retreat Chair, acting together, to select the exact date and the particular retreat house for a future meeting, provided that the facility is within the boundaries of the Diocese or Archdiocese which the Executive Board has chosen for that particular meeting.
e. The semi-annual meeting may be limited to a business meeting or may take the form of a State Convention as may be decided by the Executive Board.
f. At one of the semi-annual meetings the membership may fix the amount of the dues to be paid with the recommendation of the Executive Board.
g. The election of officers shall take place every second year at the Fall Meeting.
h. All matters within the jurisdiction of this Association shall be considered at these meetings.
i. All amendments to the Constitution that have been properly submitted shall be considered.
j. The Robert's Rules of Order, Newly Revised, shall be the Parliamentary Authority at all meetings of this Association unless otherwise provided in this Constitution.

Section 2: Voting
a. Each member Diocese of this Association shall name one delegate or alternate to represent them at the semi-annual meeting. The meeting shall be open to any Holy Name member.
b. Each member Diocese shall have one (1) vote to be cast in person by the delegate or the alternate delegate, one (1) vote apiece to be cast by the elected officer or officers from that respective diocese, and the possible additional vote of the immediate past president or present spiritual moderators of this Association. No proxy will be recognized.
c. Votes may be cast by mail on matters which the secretary knows in advance will come before the semi-annual meeting.
d. Voting on an amendment to the Constitution shall require a two-third (2/3) vote of all the membership present for passage.
e. Voting for filling the vacancies of a member of the Executive Board shall be a majority of those present with at least fifty (50) percent of the Executive Board constituting a quorum.
f. Voting on elections will be in the form of a vote by the delegate only, or the alternate, with only (1) vote per diocese.

ARTICLE IX:

NOMINATIONS AND ELECTIONS
Section 1: Nominating Committee

a. The President shall appoint a Nominating Committee at the Spring meeting prior to the semi-annual meeting designated as the Election Meeting, consisting of a Chair, and at least two (2) other members, with no two members of the committee being from the same diocese. The Chair of the Nominating Committee shall be designated by the President from one of the committee members. Members of the Nominating Committee are not barred from becoming nominees for office, provided, however, that the said committee member nominated for office be disqualified from the voting concerning this nomination. The committee shall select the nominees for each office separately and the approval of the majority of those present shall prevail. The Corresponding Secretary shall notify each voting member in good standing of the names and addresses of the Nominating Committee and the offices to be filled together with the duties of the said office no less than fifteen (15) days after the appointment of the Nominating Committee.

Section 2: Eligibility
a. Any member of the Catholic Church at least eighteen (18) years of age shall be eligible for election as an officer of this Association.

Section 3: Nominations
a. Nominations made by the Nominating Committee shall be completed in time to be included in the Election Meeting Notice sent out by the Corresponding Secretary, as specified in ARTICLE VII, Section 6, Sub-Section b. Other nominations shall be made by mail, addressed to the Corresponding Secretary, at least thirty (30) days prior to the Election Meeting. A Nomination may be submitted by any Holy Name member familiar with the State Association. The Nominator may place their own name in nomination, or may nominate any other Holy Name member whom the Nominator feels is qualified to hold office. Nominations from the floor may be made only by a delegate or alternate. All nominations submitted by mail must be accompanied by an approval letter of the Ordinary or Holy Name Spiritual Moderator of the nominee's diocese when a Holy Name Union exists in said diocese. Similarly, any nomination from the floor must have a written certification of the candidate's Holy Name Spiritual Moderator or Ordinary of the diocese when a Holy Name Union exists in said diocese.
b. When no Holy Name Union exists in a partoicular diocese, then, for all nominees submitted, either by mail or from the floor, a letter of certification from either the Ordinary of the Diocese, or the nominee's Parish Holy Name Spiritual Moderator will be acceptable.
c. For nominees submitted by the official Nominating Committee, no letter of certification shall be required, except for the office of President. Any nomination for the office of President, and any nomination, other than by the official Nominating Committee, for any office, not accompanied by a certification will not be accepted or considered.
d. For the office of President and First Vice President, a minimum of three (3) years of affiliation in some capacity with the State Association is required. When possible, the Presidency shall alternate through all the dioceses, although this is not mandatory.
e. No more than two (2) elected officers can be from the same diocese.

Section 4: Elections
a. Each voting member delegate (or alternate in the absence of the delegate) to the Election Meeting shall be entitled to cast one (1) vote for a candidate for each office. They shall vote for each candidate separately. Nothing shall prevent an unsuccessful nominee from being considered for another office, therefore the nominations shall not be closed until immediately preceding the election for the respective office, and the election shall be conducted in descending rank order of offices, from President to Marshal, as per ARTICLE VII, with Directors being elected, if necessary, after all other offices. The nominee receiving the majority of the votes cast shall be elected. If no nominee receives a majority of votes, the members will vote in a run-off election between the two nominees receiving the most votes. The newly elected officers shall be formally installed by the Spiritual Moderators after the elections. Only one (1) vote per diocese.

Section 5: Vacancies
a. In the event of a vacancy due to resignation, death, disability or removal from office, the office of the President shall be filled by the First Vice President. Any other vacancies occurring for the above stated reasons in any other elective office, the office shall be filled by appointment by a majority vote of the Executive Board.
b. If any officer, other than the President, ceases to be a practicing Catholic, or if, for any valid reason, their removal from office shall be deemed desirable for the welfare of the Association, they shall be removed from office on the recommendation of the President with the approval of the Spiritual Moderators and a majority vote approval of the Executive Board.
c. If the President ceases to be a practicing Catholic, or if, for any valid reason, removal from office shall be deemed desirable for the welfare of the Association, any Executive Board member may introduce a resolution of impeachment. Unless such resolution is vetoed by one of the Spiritual Moderators, it shall, after discussion, be submitted to the Executive Board for vote. Considering the gravity of an impeachment, a two-thrids (2/3) majority shall be required.

ARTICLE X:

AMENDMENTS
Section 1: Submitting

a. Substantive amendments to this Constitution shall be submitted by any voting member in good standing to the Corresponding Secretary at least sixty (60) days in advance of the semi-annual meeting. The Secretary shall notify in writing all voting members of the proposed amendment at least thirty (30) days before the meeting.
b. Technical corrective amendments, which shall be limited to matters of capitalization, grammar, numbering, punctuation, spelling and similar minor matters not affecting any policy, procedure or directive of this Constitution may be submitted by any Executive Board member from the floor, without the requirement of advance notice, and may be voted upon at the same meeting. However, should any Executive Board member object that the proposed amendment is of a substantive, rather than a technical nature, the said amendment shall be tabled until the next semi-annual meeting, at which time it shall be voted on as a substantive amendment.

NOTE: Apparently, the original Constitution required three readings for the adoption of Constitutional amendments. The more recent Constitution, approved in 1979, contained no such requirement in its Article on Amendments. Hence, it was possible to approve the 2003 Revised Constitution on First Reading. It is possible that technical corrective amendments may be submitted at the Second and/or Third Reading. Second reading (or informational purposes): Scheduled for May 14, 2004, at Spring 2004 PAHNS Meeting, to be held in New Baltimore (Diocese of Altoona-Johnstown).
